We do not believe established businesses should be approached with a predetermined transaction structure. Each opportunity is considered individually, taking into account the company's financial performance, operations, management team, assets, working capital requirements and the objectives of its shareholders. Where there is a strong mutual fit, we seek to develop an acquisition structure appropriate for both the business and its owners. Our focus is not simply completing a transaction. Brian Ngwenya’s journey into business ownership is built on deliberate strategy and a steadfast commitment to value creation, rather than a traditional career path. Following his relocation to the United Kingdom in 2011, he developed a focused interest in entrepreneurship and investment, intentionally building his expertise outside the conventional corporate framework. His initial investment experience was forged in property, where he worked alongside private investors and structured joint ventures. This period provided rigorous, practical exposure to opportunity assessment, transaction structuring, and the alignment of stakeholder interests—disciplines that now form the foundation of his acquisition approach. It was within this arena that his attention steadily gravitated from property assets toward operating businesses. He became increasingly absorbed by a simple yet profound question: rather than building every enterprise from inception, why not acquire established businesses that have already demonstrated resilience through challenging economic cycles? That inquiry shaped a long-term, disciplined pursuit of business acquisition, succession, and stewardship. In the years that followed, Brian dedicated himself to understanding precisely how established businesses are acquired, financed, managed, and scaled. What captured his attention most acutely was the growing succession challenge confronting owner-managed companies across the United Kingdom. Behind many of these enterprises stands a founder who has dedicated decades to building something of enduring worth. They have cultivated deep customer relationships, developed loyal teams, navigated recessions and difficult trading conditions, and established a reputation that cannot be replicated by simply launching a new venture. Yet every owner must eventually determine what comes next. That is the challenge Fortizo Commercial Group was created to address. Brian concentrates on established businesses with durable, essential operating models—manufacturing, engineering, logistics, industrial services, specialist construction, and essential B2B services. These are enterprises where lasting value is generated through consistent, high-quality execution sustained over time. His approach is clear and disciplined: acquire, strengthen, and grow. The intention is never to purchase a company with a view toward short-term exit. It is to assume stewardship of what another founder has built—to understand the foundations of its success, protect its core strengths, and identify considered, meaningful opportunities to enhance performance. This may involve operational improvements, investment in people, management development, strategic growth initiatives, carefully selected add-on acquisitions, or the introduction of greater commercial rigour. However, any change must be thoroughly justified. A long-standing business should never be disrupted simply because ownership has transitioned.
